Welcome to the MyPropane App (“App”), or one of it’s white labeled derivatives. These Terms of Service (“Terms”) govern your use of CentriConnect, MyPropane App, and it’s White Labeled Derivatives (“App”). By using the App, you agree to be bound by these Terms. Please read these Terms carefully before using the App.

Acceptance of Terms: By using the App, you acknowledge that you have read, understood, and agreed to these Terms, as well as our Privacy Policy.

Eligibility: You must be at least 18 years old to use the App. By using the App, you represent and warrant that you are 18 years of age or older.

License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use. You may not use the App for any illegal or unauthorized purpose.

User Accounts: You may need to create an account to use certain features of the App. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate and complete information when creating an account and to update your account information as necessary. You are solely responsible for any activity that occurs under your account.

User Content: You may be able to upload, submit, or otherwise contribute content to the App (“User Content”). You retain ownership of any User Content you submit, but you grant us a worldwide, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the App and our business, including without limitation for promoting and redistributing part or all of the App in any media formats and through any media channels.

Prohibited Conduct: You agree not to engage in any of the following prohibited conduct:
Use the App in any way that violates any applicable laws, regulations, or third-party rights.
Upload, submit, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, or otherwise objectionable, or that promotes violence, discrimination, or illegal activities.

Use the App to impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

Use the App to collect, harvest, or otherwise obtain information about other users without their consent.

Use the App to transmit any viruses, malware, or other harmful or disruptive code.

Interfere with or disrupt the operation of the App or any servers or networks connected to the App.

Attempt to gain unauthorized access to the App or any user accounts or circumvent any security measures.

Intellectual Property: The App and its content, including without limitation the software, graphics, designs, and all other intellectual property rights therein, are owned by us or our licensors. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

Third-Party Content and Links: The App may contain links to third-party websites, advertisements, or content that are not owned or controlled by us. We do not endorse or assume any responsibility for any third-party content or websites, and you access them at your own risk.

Disclaimer of Warranties: THE APP IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS OR ERRORS IN THE APP WILL BE CORRECTED.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL BE LIMITED TO THE AMOUNT YOU PAID, IF ANY, TO USE THE APP.

Indemnity: You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, agents, and affiliates from and against any and all losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the App, your User Content, your violation of these Terms, or your violation of any rights of another.

Termination: We may terminate or suspend your access to the App, in whole or in part, at any time and for any reason or no reason, without notice or liability. Upon termination, your right to use the App shall immediately cease, and you shall promptly delete or destroy any copies of the App in your possession or control.

Governing Law and Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of Michigan. Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively through arbitration in accordance with the rules of Michigan Court, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Changes to the Terms: We may modify these Terms at any time by posting the revised Terms on the App or by notifying you through other means. Your continued use of the App after such changes constitutes your acceptance of the modified Terms.

Miscellaneous: These Terms constitute the entire agreement between you and us regarding your use of the App and supersede any prior or contemporaneous agreements, understandings, or communications. These Terms do not create any third-party beneficiary rights. Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
